PLEASE READ THESE TERMS CAREFULLY. SECTION 16 CONTAINS A BINDING ARBITRATION CLAUSE AND A CLASS-ACTION WAIVER THAT AFFECT YOUR RIGHTS.
Dueback provides outcome-based bill negotiation. You tell us about a bill, fee, subscription, or purchase you believe could be lower; we negotiate with the provider on your behalf; and we verify any savings against your actual bank transaction data.
You pay only if we save you money. If we cannot verify savings, you owe $0 — always.
You must be at least 18 years old and a resident of the United States to use Dueback. By using the service you represent and warrant that you meet these requirements and that all information you provide is true, accurate, and complete. We may verify eligibility and decline service at our sole discretion. Misrepresentation of eligibility is a material breach of these Terms.
Our fee is a share of verified first-year savings:
No verified savings = $0. If the negotiation does not produce verified savings, you owe nothing.
Fees are calculated from the documented negotiated outcome (baseline vs. negotiated target at confirmation) at the rates and caps above. Our records of the baseline, negotiated outcome, and fee calculation are deemed conclusive and binding. If you allege a manifest error, you bear the burden of proving it by clear and convincing evidence. If bank-feed verification is unavailable through no fault of ours (including revocation of access under §11), the fee is settled on the documented outcome.
Any dispute regarding a fee must be submitted in writing to support@dueback.co with the subject line "Fee Dispute," including your case ID and the specific basis for the dispute, within 30 days of the fee charge. Oral complaints, chat messages, and informal remarks do not constitute a dispute, and we are not obligated to investigate them. Failure to dispute in writing within 30 days constitutes a waiver of any objection to the fee, and the fee is deemed final and correct.
By opening a negotiation case, you authorize Dueback to:
You represent and warrant that you are the account holder (or an authorized user) for any account you ask us to negotiate, and that the information you provide is accurate and complete.
Scope limits. We negotiate the price of the service as described. We do not cancel services, change service tiers, or modify your account unless you have explicitly approved that action. A cheaper price achieved by reducing scope (removing services, downgrading materials, shortening terms) does not count as savings unless you approved the scope change.
Savings are verified against bank transaction data obtained via Plaid (or, where you choose manual verification, against documentation you provide such as bills or statements showing merchant name, billing period, and amount).
From time to time we may offer promotional codes that waive or reduce fees (e.g., LAUNCH20, a limited number of free negotiations during our launch). Promotional terms are stated with the offer. We may modify, suspend, or revoke any promotion at any time in our sole discretion. Once a promotion's use limit is reached, the code stops working and standard pricing applies.
Promo abuse. If we determine in our sole discretion that a promotional code was used fraudulently or in violation of its stated terms (including duplicate accounts, misrepresentation, or circumvention of use limits), we may void the fee waiver — on the affected case and on all of your other cases — and charge the standard fee for each, and we may terminate your access. You agree to pay the standard fees in such cases. We reserve all rights and remedies for fraud.
If your bill returns to its pre-negotiation baseline within 30 days of the verified outcome (for reasons other than your own account changes), we refund our fee in full automatically — provided you notify us within 7 days of the reversion. This guarantee is void if you revoke our access to verification data during the monitoring window (see §11), and does not apply to savings lost due to your own actions, provider-wide price increases, or changes in your usage or service tier. This guarantee is your sole and exclusive remedy for any reversion.
After a case closes, we may ask you to leave a review. Reviews are voluntary. One review per case. We do not condition service quality, pricing, or outcomes on whether you leave a review, nor on its content. By submitting a review, you grant us a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, and display it in our marketing and communications.
All negotiation strategies, playbooks, tactics, scripts, prompts, and methodologies developed or used by Dueback — and all anonymized or aggregated case outcomes — are and remain the exclusive property of Dueback. You agree not to copy, reverse-engineer, or disclose our negotiation methods. By using the service, you grant us a worldwide, royalty-free, irrevocable license to use anonymized case data (amounts, merchants, tactics, outcomes, timelines — no personally identifiable information) to improve our strategies, train models, and publish aggregated case studies.
Feedback. Any feedback, suggestions, or ideas you provide about the service become the exclusive property of Dueback, without compensation to you. To the extent permitted by law, you waive any moral rights in such feedback.
We rely on your Plaid-connected bank data to verify savings and monitor for the reversion guarantee. You agree to maintain the connection through the monitoring window.
You agree not to:
We may decline, suspend, or close any case or account at any time, for any reason or no reason, without prior notice, in our sole discretion — including where we determine the expected savings do not justify the cost of the negotiation (we will tell you honestly when this is the case). You remain liable for all obligations, including fees on pending cases and collection costs, after any closure or termination.
We will make good-faith efforts to negotiate savings, but we do not guarantee any specific result. Providers are under no obligation to offer discounts, and market conditions, provider policies, and account history are beyond our control. Time is not of the essence, and we are not liable for delays in negotiation or verification. Our fee applies only to verified savings, so an unsuccessful negotiation costs you nothing.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
If any limitation in this section is held unenforceable, it shall be reformed to the greatest limitation permitted by applicable law.
You agree to defend (at our option), indemnify, and hold harmless Dueback, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, fines, costs, and expenses — including reasonable attorneys' fees — arising from or related to: (a) your use of the service; (b) any information you provide; (c) negotiation of accounts you were not authorized to manage; (d) your breach of these Terms; or (e) your violation of any law or third-party right.
Indemnified amounts are payable within 30 days of our written demand. We may assume exclusive defense and control of any matter subject to indemnification, at our expense, and you agree to cooperate fully with our defense.
You and Dueback agree that any dispute, claim, or controversy arising from or related to these Terms or the service shall be resolved exclusively by final and binding arbitration, on an individual basis — not in court, and not as part of a class, collective, or representative action.
We may change these Terms at any time by posting the revised Terms. Changes take effect on the posting date. It is your responsibility to review these Terms periodically. Your continued use of the service — or maintenance of your account — after changes take effect constitutes your acceptance of the revised Terms. Notices posted under this section are deemed delivered whether or not you read them. We are not obligated to provide individual notice of changes.
You may stop using Dueback at any time. We may suspend or terminate your access at any time, for any reason or no reason, without prior notice, in our sole discretion. Termination does not affect: fees already earned on verified or documented outcomes; obligations under §§7, 10, 14, 15, and 16; or our rights under §7. Sections 7, 10, 14, 15, 16, 19, and 20 survive termination.
We may assign or transfer these Terms, and our rights and obligations hereunder, to any third party without your consent and without notifying you (including in connection with a merger, acquisition, or sale of assets). You may not assign these Terms or your rights hereunder without our prior written consent; any attempted assignment in violation of this section is void.
